  • Filing of e-Forms with ROC, which usually takes 3 business days to process.

  • Receipt of Incorporation Certificate; which usually comes in 3 to 7 business days from the date of filing of all e-forms at the MCA portal.

Information Guide

Documents required for Company Incorporation:

  1. PAN card of all proposed Directors
     
  2. Passport Size photograph of all proposed Directors
     
  3. Identity Proof of all proposed Directors (Aadhar Card, Passport, Voter ID Card, Driving License, etc)
     
  4. Address Proof of all proposed Directors (Recent one-month bills of Electricity or Landline Telephone, or Mobile Phone or Bank Statement)
     
  5. Self Declaration of all directors about their directorship in other companies
     
  6. NOC from the owner of Premise where the company has to be registered
     
  7. Rent Agreement between the owner of the property and the proposed company, to use the said premise as a registered address of the office
     
  8. Recent 2 months of Utility bills for the registered address verifying the ownership details mentioned in the NOC/ Rent Agreement.

How many days does it take to register a company with MCA?

Is the company incorporation process completely online in India?
Yes, company registration is completely online and can be done only through the MCA portal.

The E-forms required for company incorporation are uploaded at the MCA portal and are then processed at the Central Registration Centre (CRC) in a robust manner.

Upon successful registration of a company, a digitally signed Certificate of Incorporation is sent by CRC, MCA which can be verified by all the stakeholders at www.mca.gov.in
What are MOA & AOA to be documented for Incorporation of a company?
MOA is a Memorandum of Association and AOA is Articles of Association.

These are the bylaws or rules based on which important matters like the domains of business activities, nature & scale of operations, etc are decided.

These are standard legal documents mandatorily required to be prepared and filed with the Ministry of Corporate Affairs (MCA)
What is the minimum paid-up capital required to Incorporate a company?
A Private Limited company can now be incorporated with a capital contribution as low as INR 10,000/-
Can NRIs and foreign nationals register a private limited company in India?
Yes,
NRIs/ foreign nationals/ entities can register a company and invest in India, subject to the Foreign Direct Investment norms set by the RBI.
However, incorporation rules in India require one Indian national to be on the Board of Directors of such a company being incorporated.
Is the rate of Income Tax lower for Companies than LLP, Proprietorships, etc?
Yes, for AY 2021-22:

Where a company has opted for section 115BA, 115BAA, 115BAB the rates for Income Tax are 25%, 22% & 15% respectively as against a rate of 30% on other business structures like LLP, Partnership firms, Proprietorships, etc.

Note: The Income-tax rates mentioned above are subject to applicable surcharges and cess imposed by the Central Board of Direct Taxes from time to time.
When are the shareholders required to deposit the Initial capital contribution?
The capital mentioned in the MOA (Memorandum of Association) must be deposited in a current account and a commencement certificate must be obtained from the MCA within 180 days from the date of Incorporation of the company.
Is is Mandatory for a company to have a commercial address for Incorporation?
No, commercial office space/ address is not mandatory.

A Company can be registered at a residential or rented home address as well. This office address can be changed at any time after the incorporation of the company.
Once your company is set up and you are ready to move to a corporate space you can change the registered office address by informing the ROC in an online application.
